1. Introduction
These Terms & Conditions form a contract between Parker Photography & Video Ltd (“PP&V” or “Supplier”) and the Client upon receipt of the Booking Fee. These conditions do not affect the Client’s statutory rights.
2. Supply of Services
PP&V will provide services and/or deliverables as set out in the agreed Proposal, Quotation, or Order. Any changes to scope must be agreed in writing.
3. Payment Terms
- A 50% non-refundable deposit (“Booking Fee”) is required to secure any booking.
- The remaining balance is due within the timeframe outlined in the Proposal or Order.
- Final deliverables will not be released until full payment has been received.
4. Booking, Rescheduling, and Cancellations
- Reschedules are allowed with at least 14 working days’ notice.
- Cancellation less than 3 days before the shoot: 50% of the agreed rate is payable (or no refund if already paid in full).
- Cancellation on the day of the shoot: 100% of the agreed rate is payable (or no refund if already paid in full).
5. Health & Safety & Safeguarding
- PP&V and the Client must comply with all applicable health & safety laws.
- PP&V reserves the right to refuse work if conditions pose a risk to staff, crew, or equipment.
- PP&V holds an enhanced DBS certificate and is fully insured, suitable for working in schools and other sensitive environments.
6. Creative Brief & Amendments
- Up to 3 minor amendments are included in the Proposal.
- Additional changes are charged at £40 + VAT per hour.
- PP&V will correct any errors made at no additional cost.
7. Archiving & Data Storage
- PP&V offers an optional archiving service storing captured footage and images for future reference.
- Archiving is provided as a convenience; PP&V does not guarantee permanent storage, uninterrupted access, or recoverability of archived files.
- In the event of server failure, hardware failure, corruption, theft, fire, flood, or any event beyond PP&V’s reasonable control, PP&V will take reasonable steps to attempt recovery at its cost, but cannot guarantee success.
- The Client acknowledges and agrees that PP&V shall not be liable for any loss or damage arising from archived data being unavailable or lost, and cannot be held legally responsible.
- Clients are strongly advised to maintain their own backups of delivered files.
8. Equipment and Media Disclaimer
- PP&V will perform reasonable checks on all cameras, lighting, and other equipment prior to filming or photography sessions.
- Despite these checks, PP&V cannot accept liability for equipment failures, SD card corruption, hard drive failure, or other technical malfunctions that occur during or after the shoot.
- PP&V will make reasonable efforts to recover lost media but cannot guarantee successful recovery or accept responsibility for any associated loss.
9. Limitation of Liability
- To the fullest extent permitted by law, PP&V shall not be liable for any indirect or consequential loss, including loss of profits, business, or reputation.
- If services cannot be provided due to unforeseen circumstances, PP&V’s liability is limited to a refund of monies paid for those services.
- Once the Client has given written approval of content, PP&V shall not be liable for errors or issues arising after approval.
10. Ownership, Copyright & Intellectual Property
- PP&V retains copyright in all original material unless a buyout or assignment is agreed in writing.
- The Client may purchase raw footage for £250 + VAT, either before or after filming.
- PP&V reserves the right to use footage or images for showreels, marketing, and social media unless otherwise agreed in writing.
- Client-supplied music must be original and fully licensed.
- The Client indemnifies PP&V against any copyright or IP claims arising from third-party content.
- The Client may not sublicense, resell, or repurpose deliverables for another brand or project without prior written agreement.
11. Client Responsibilities
- The Client must obtain all necessary filming permissions and notify relevant participants or attendees that filming is taking place.
- The Client must ensure locations are accessible and prepared for filming, including providing any scripts, branding assets, or other materials on time.
- Delays caused by the Client may result in revised deadlines or additional charges.
12. Care & Damage
- PP&V is not responsible for loss or damage to the Client’s property.
- Additional filming outside the agreed scope will be charged at the full-day rate outlined in the Proposal.
13. Filming Conditions & Equipment
- PP&V reserves the right to cancel or reschedule filming in hazardous weather or other unsafe conditions.
- Clients acknowledge that certain equipment may have limitations (e.g., monitors, cameras, sliders) and the final output may be dependent on the available footage and space.
14. Confidentiality
Both parties agree to keep all project details strictly confidential unless otherwise agreed in writing.
15. Indemnification
The Client agrees to indemnify and hold PP&V harmless against any legal claims arising from:
- Defamation, privacy violations, or misrepresentation in the final product.
- Copyright or trademark infringement arising from Client-provided materials.
16. Additional Expenses
- Any additional expenses (travel, permits, props, catering, etc.) must be approved in writing by the Client.
17. COVID-19 & Health Risks
- The Client assumes responsibility for health risks associated with in-person shoots.
- PP&V is not liable for illness or other health impacts arising during filming.
18. Force Majeure
- PP&V shall not be liable for failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, strikes, pandemics, power failures, or extreme weather.
19. Delivery Timeline Disclaimer
- Delivery times are estimates only. PP&V will use reasonable endeavours to meet deadlines but cannot be held liable for delays caused by circumstances outside its control.
20. Subcontractors
- PP&V may engage subcontractors or assistants to complete work without reducing PP&V’s responsibility for the quality of deliverables.
21. Revisions Beyond Scope
- Any revisions or additional edits requested beyond the agreed scope or revision rounds will be charged at the agreed hourly rate.
22. Insurance & Equipment Coverage
- PP&V is fully insured for public liability, professional indemnity, and equipment.
- The Client is responsible for reasonable protection of PP&V equipment on site.
23. Governing Law & Jurisdiction
- These Terms & Conditions are governed by English law.
- Both parties submit to the exclusive jurisdiction of the English courts.
